Technology problems found after closing become your problems. BTI reviews the IT, cybersecurity, network, communications and physical security of a target company or new location, then gives your deal team clear findings, cost drivers to plan for and an integration path.

Deal work is handled confidentially. BTI signs your NDA before discussing an acquisition target.

What BTI reviews

IT infrastructure

What is the age and condition of servers, network and end-user equipment? What needs replacing in the first year?

Cybersecurity

Are basic controls in place: multifactor authentication, endpoint protection, patching, backups, email security? Any evidence of past incidents? How does the program compare with the NIST Cybersecurity Framework?

Cloud, applications and licensing

Which cloud tenants, applications and licenses transfer, and which contracts are tied to the seller?

Network and connectivity

Are circuits, Wi-Fi and site networks adequate, documented and supportable?

Voice and communications

What phone, contact center and carrier contracts exist, and when do they end?

Physical security

Are cameras, access control and intrusion systems current, supported and safely connected to the network? What needs upgrading or re-licensing after closing?

People, vendors and documentation

Who runs IT today, which vendors are critical, and how much is written down?

Compliance obligations

Which customer, contract or regulatory requirements will the combined company inherit?

What your deal team receives

  • A risk-rated findings summary written for executives and deal advisors.
  • Cost drivers to plan for: equipment refresh, security gaps, licensing changes and contracts that need to be replaced, described so your team can estimate them.
  • Red flags that could affect timing, terms or the integration plan.
  • A Day 1 and first 100 days IT integration outline: identity, email, networks, security tooling, support handoff and communications.
  • A readout with your leadership, deal advisors or lenders.

The first consultation is free. The review's scope is agreed on the initial engineering consult call, after BTI signs your NDA, and is then written into your service agreement. Timeline and deliverables follow that scope.

How a review works

1

NDA first, then the consult call

BTI signs your NDA before the target is discussed. On the engineering consult call, we set the scope together: target size, sites, deal timeline and the access the seller will allow.

2

Documents and walkthroughs

A clear checklist for the seller's IT team or provider, then remote sessions plus on-site visits in Los Angeles and Southern California, Chicagoland and Phoenix. Elsewhere in the U.S., BTI coordinates on-site work through partners.

3

Findings and readout

Risks rated by impact on the deal and on integration, walked through with your leadership and advisors.

4

After closing (optional)

BTI can lead or support integration, then continue with vCIO, vCISO, managed or co-managed IT as the combined company grows.

Sell-side readiness reviews

Selling your company? Buyers will run their own technology due diligence. A sell-side readiness review shows you your IT, cybersecurity, network, communications and physical security the way a buyer's team will, before they do.

  • A buyer's-eye findings summary: the risks and gaps a diligence team is likely to raise, rated by how much they could affect the deal.
  • A prioritized fix list: what to address before going to market, and what to disclose and explain instead.
  • Documentation buyers ask for: network diagrams, asset and license lists, vendor and carrier contracts, and security policies, ready for the data room.
  • Support during the buyer's review: BTI can help your team answer technology questions from the buyer's advisors.

Deal work is confidential, and the NDA comes before the review starts. As with a purchase review, scope is agreed on the engineering consult call. For the value side of a sale, see AI value creation before selling your business.

New-site security reviews

Opening or acquiring a location raises the same questions on a smaller scale. BTI reviews network readiness, connectivity, Wi-Fi, phones, cameras, access control and cybersecurity before you sign the lease or close, so the site opens with fewer surprises. See IT infrastructure consulting.

Why BTI for technology due diligence

  • One converged review: IT, cybersecurity, network, voice and physical security in a single engagement, instead of several vendors.
  • Practical integration plans from a team that designs, installs and supports these systems.
  • Security leadership on call: BTI's vCISO service adds NIST CSF maturity assessments and tabletop exercises after closing. See vCISO & Cybersecurity Consulting.
  • Governance you can check: ISO 27001 compliant policies and controls, independently reviewed through the Technology Assurance Group (TAG) ISO 27001 Compliance Program; penetration testing and vulnerability tracking independently reviewed by an independent testing partner; monitoring through a 24/7 NOC/SOC.
  • Over 40 years in business, with teams in Los Angeles, Chicagoland and Phoenix. GSA contract holder (47QTCA21D00BA).

Frequently asked questions

What is technology due diligence?

A review of a target company's or site's technology (IT, cybersecurity, network, communications and physical security) before an acquisition, merger or lease, so risks and costs are known before you commit.

When should we start?

As early as the deal allows, ideally once the letter of intent is signed and the seller can share documents and access. The first consultation is free, and the review's scope is set on the initial engineering consult call.

Does BTI provide financial or legal M&A advice?

No. BTI covers technology and security. Your financial and legal advisors handle valuation and deal terms, and BTI's findings feed into their work.

Will you sign our NDA?

Yes, before any acquisition target is discussed.

Can you review a target without alerting their staff?

BTI follows the access rules set by your deal team and the seller. Much of the early work can be done from documents and limited interviews.

Do you help after closing?

Yes. BTI can carry out the integration plan and provide ongoing vCIO, vCISO, managed or co-managed IT.

Does this replace a cybersecurity audit?

No. It is a pre-transaction review. If the deal needs a formal audit or compliance attestation, BTI can recommend a scope. CMMC and other compliance work is completed and contracted by BTI and its partners, including top industry professionals in each category.

Can BTI help us get ready to sell our own company?

Yes. A sell-side readiness review looks at your technology the way a buyer's team would, so you can fix gaps and prepare documentation before diligence starts. Your NDA is signed first.
